Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Sprike LLC (“Dooit,” “we,” “us,” or “our”) and govern your access to and use of the Dooit website and application (the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
1. Eligibility
You must be at least 13 years old to use Dooit. If you are under the age of majority where you live, you may use the Service only with the involvement and consent of a parent or guardian. By using Dooit, you represent that you are able to form a binding contract with us and that you will comply with these Terms and all applicable laws.
2. Your account
You are responsible for the activity that happens under your account and for keeping your login credentials and any API tokens secure. Please notify us promptly at support@dooit.so if you suspect any unauthorized use of your account. Authentication is handled by our provider, Clerk, and is also subject to its terms.
3. The Service
Dooit is a minimal task-management application for planning your day, organizing projects, tracking habits, and working toward goals. We are continually improving the Service and may add, change, or remove features over time. We may also offer an optional REST API and integrations, which are subject to these Terms and any documented usage limits.
4. Subscriptions, trials, and payments
Dooit offers a paid subscription, “Dooit Pro,” billed monthly or annually through our payment processor, Stripe. New subscriptions may include a 7-day free trial, which requires a valid payment method up front. Unless you cancel before the trial ends, your subscription will begin automatically and your payment method will be charged.
Subscriptions renew automatically at the end of each billing period (monthly or annually) at the then-current price until you cancel. You authorize us and Stripe to charge your payment method for each renewal. We may change our prices from time to time; any price change will apply to your next billing period after we give you reasonable notice. Applicable taxes may be added at checkout.
5. Cancellation and refunds
You can cancel your subscription at any time through the billing portal in the app. When you cancel, your subscription remains active until the end of the current billing period, and you will not be charged again after that.
Payments are non-refundable, and we do not provide refunds or credits for partial periods, unused time, or features you did not use, except where required by law. The free trial is provided so you can evaluate the Service before being charged.
6. Your content
You retain all ownership of the content you create in Dooit — your tasks, projects, goals, habits, notes, and uploads (“Your Content”). We do not claim ownership of Your Content. You grant us a limited, non-exclusive license to host, store, process, and display Your Content solely to operate and provide the Service to you (for example, to sync it across your devices). You are responsible for Your Content and for ensuring you have the rights to it.
7. Acceptable use
You agree not to:
- use the Service for any unlawful purpose or in violation of these Terms;
- upload or store content that is illegal, infringing, or that violates the rights of others;
- attempt to gain unauthorized access to the Service, other accounts, or our systems;
- interfere with or disrupt the Service, including by overloading, scraping, or circumventing rate limits or security measures;
- reverse engineer or attempt to extract the source code of the Service, except to the extent permitted by law; or
- resell or commercially exploit the Service without our permission.
We may suspend or terminate accounts that violate these rules or that create risk or legal exposure for us.
8. Intellectual property
The Service, including its software, design, branding, and the “Dooit” name and logo, is owned by Sprike LLC and protected by intellectual-property laws. These Terms do not grant you any right to use our trademarks or branding without our prior written permission. Aside from Your Content, all rights in the Service are reserved to us.
9. Third-party services
Dooit relies on third-party providers, including Clerk (authentication), Stripe (payments), Convex (backend and database), and Vercel (hosting). Your use of the Service may also be subject to those providers’ terms. We are not responsible for the acts or omissions of third-party providers. See our Privacy Policy for details on the data these providers process.
10. Disclaimer of warranties
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any data will be preserved without loss. You are responsible for keeping your own backups of important information.
11. Limitation of liability
To the maximum extent permitted by law, Sprike LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. In all cases, our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us in the 12 months before the event giving rise to the claim, or US $50. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless Sprike LLC from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, or your violation of these Terms or applicable law.
13. Termination
You may stop using Dooit and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe doing so is necessary to protect the Service or other users. Upon termination, your right to use the Service ends, and we will handle your data as described in our Privacy Policy. Sections that by their nature should survive termination — such as ownership, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.
14. Dispute resolution and binding arbitration
Please read this section carefully — it affects how disputes are resolved.
You and Sprike LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved through final and binding individual arbitration, rather than in court, except that either party may bring an individual claim in small-claims court if it qualifies. The arbitration will be conducted in Delaware, or remotely where permitted, under the rules of a recognized arbitration provider.
Class-action waiver.
You and Sprike LLC agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate more than one person’s claims or preside over any form of class proceeding. If this class-action waiver is found to be unenforceable as to a particular claim, that claim (and only that claim) will be severed and may proceed in court.
15. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Subject to the arbitration provisions above, the state and federal courts located in Delaware will have exclusive jurisdiction over any disputes not subject to arbitration.
16. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you through the Service. Your continued use of Dooit after an update means you accept the revised Terms.
